Website Terms of Use (Version 1.1 - updated 09-09-2026)
Please read these terms and conditions carefully.
Knova Enterprises, LLC, a Florida limited liability company ("KNOVA," "we," or "us"), operates www.knovalocal.com and its related website functionality (the "Website" or "Platform"). The Website connects people seeking local services ("Inquirers") with independent electricians, plumbers, and other local service businesses ("Service Providers"). Providers with a KNOVA subscription are "Subscribers." KNOVA's "Services" are its directory, connection, account, and provider-list tools, not the work offered or performed by Service Providers. "You" and "Users" in these Website Terms include visitors without accounts, registered Inquirers, and Subscribers. These Website Terms of Use ("Agreement" or "Terms") govern public use of the Website; account-only use is additionally subject to the User Software-as-a-Service Agreement.
PLEASE READ THESE TERMS BEFORE USING THE WEBSITE OR CONTACTING A PROVIDER. BY CLICKING "I AGREE," CHECKING AN ACCEPTANCE BOX, OR TAKING A CONTACT OR OTHER ACTION EXPRESSLY IDENTIFIED AS ACCEPTANCE AFTER THESE TERMS ARE PRESENTED, YOU AGREE TO THESE TERMS. OTHER USE AFTER ACTUAL OR LEGALLY SUFFICIENT CONSPICUOUS NOTICE CONSTITUTES ACCEPTANCE ONLY TO THE EXTENT PERMITTED BY LAW. DO NOT USE THE SERVICES IF YOU DO NOT AGREE. SECTION 3A EXPLAINS KNOVA'S CONNECTOR-ONLY ROLE; SECTION 8 CONTAINS LIABILITY LIMITATIONS AND A RELEASE; AND SECTION 19 REQUIRES INDIVIDUAL ARBITRATION AND WAIVES CLASS ACTIONS, SUBJECT TO EXCEPTIONS AND A 30-DAY OPT-OUT. ACCEPTING THESE WEBSITE TERMS DOES NOT REQUIRE OR CREATE AN ACCOUNT.
1A. Modifications to Terms of Service.
KNOVA may update these Terms. Nonmaterial changes take effect when posted with an updated date. Material changes require reasonably conspicuous notice at least thirty (30) days before taking effect, and affirmative acceptance where required by law. Continued use after the effective date and legally sufficient notice constitutes acceptance only to the extent permitted by law. Changes apply prospectively and not to a dispute already notified to either party. If you do not accept, stop the affected use. Section 19.10 exclusively governs changes to arbitration, including affirmative acceptance of material changes. Subscription billing changes are governed by the Website Purchase Terms, and privacy changes by the Privacy Policy.
1B. Electronic Communications and Electronic Signatures. By accessing or using the Website, you consent to receive electronically from KNOVA notices, agreements, disclosures, and other communications relating to the Website, these Terms, or Services you request from KNOVA. You agree that electronic communications provided to you satisfy any legal requirement that such communications be in writing, to the extent permitted by applicable law. You further agree that clicking “I Agree,” “Submit,” checking a box, or taking any similar affirmative action presented as acceptance of an agreement constitutes your electronic signature and is the legal equivalent of your handwritten signature to the extent permitted by applicable law. Your consent under this Section does not constitute consent to receive marketing or promotional communications where separate consent is required by applicable law. Marketing and promotional communications will be sent, and any consent to receive such communications will be obtained, in accordance with applicable law and KNOVA’s Privacy Policy.
2. Eligibility.
You must be at least eighteen (18) years old and legally able to enter into these Terms. If acting for an entity, you represent that you have authority to bind it. The Website is not intended for minors. KNOVA's handling of children's information is described in the Privacy Policy.
3. Access, Alerts, and Downloads.
KNOVA may restrict access for violations, security risks, fraud, unlawful activity, or other legitimate Website administration needs, subject to applicable law and the subscription rights described in the User Software-as-a-Service Agreement and Website Purchase Terms. KNOVA may provide notices about features, updates, and your use.
Inquirers may search for and contact Service Providers without creating an account, subject to accepting these Website Terms as presented. To create, save, or share provider lists through the Platform, an Inquirer must create an account and accept the User Software-as-a-Service Agreement ("User SaaS"). Service Providers must create an account, accept the User SaaS, and subscribe under the Website Purchase Terms (Service Provider Subscriptions) ("Purchase Terms"). Those documents are linked on the Website and presented at registration or checkout, as applicable. Account holders must supply accurate information, protect their credentials, and promptly report unauthorized access to support@knovalocal.com. Mere browsing or contacting a provider does not bind an unregistered visitor to the separate User SaaS.
3A. Independent Service Providers; KNOVA as Connector.
KNOVA provides only the technology for finding and contacting independent Service Providers and for registered Users to organize and share provider lists. KNOVA is not a contractor, home-improvement service, employer, agent, partner, joint venturer, fiduciary, insurer, or guarantor of any Service Provider or Inquirer. KNOVA does not select a provider for an Inquirer, perform or supervise work, inspect property, determine job scope or prices, obtain permits, or collect or hold payments for provider work. Neither a Service Provider nor an Inquirer may act for or bind KNOVA. Any agreement for work, including scope, price, scheduling, access, deposits, payment, taxes, permits, warranties, refunds, and dispute resolution, is solely between the Service Provider and the Inquirer. They may communicate, contract, and transact outside the Platform without a circumvention restriction or transaction fee payable to KNOVA.
Listings, search results, geographic proximity, subscription status, and inclusion on a saved or shared list do not constitute KNOVA's recommendation, certification, endorsement, or guarantee. The Platform is not a complete directory of all providers in an area. KNOVA does not undertake to verify provider identity, licensing, qualifications, insurance, bonding, background, references, safety, or ability to perform, or the accuracy of third-party statements. Any expressly described check is limited to the scope and time stated and is not a continuing guarantee. A paid listing reflects a subscription, not approval of the provider's work. Users' lists and recommendations reflect their own selections or opinions, not KNOVA's.
Inquirers are responsible for selecting and independently evaluating providers, confirming licenses and insurance appropriate to the proposed work, checking references, and agreeing to a written work contract and payment terms directly with the provider. Inquirers must have authority to request the work and grant any necessary property access, and must disclose known material site hazards. Service Providers are responsible for evaluating each request, observing applicable safety requirements, and deciding whether to accept work. Dealings with another person can involve fraud, nonpayment, defective or incomplete work, property damage, personal injury, or other loss. Exercise appropriate precautions. The Platform is not an emergency-response service; contact emergency services directly in an emergency.
Provider Responsibilities. Service Providers must maintain legally required licenses, registrations, permits, insurance, and qualifications; accurately describe their services; and remain solely responsible for their work, personnel, subcontractors, safety, taxes, customer agreements, and legal compliance. They must not imply employment, agency, vetting, or a guarantee by KNOVA. Subscription fees are not contingent on leads, jobs, or revenue. KNOVA does not promise a particular provider, response, lead volume, search position, or outcome. Reports to KNOVA may be used to administer listings but do not make KNOVA a party to a work agreement or obligate KNOVA to supervise work or resolve a dispute. Nothing eliminates a duty imposed by nonwaivable law.
4. Intellectual Property Protection.
The Website's software, design, text, graphics, logos, and compilations are owned by KNOVA or its licensors and protected by intellectual property laws. Third parties retain rights in their own profiles, photographs, trademarks, and other content. You may not copy, distribute, alter, or create derivative works of proprietary Website materials except as expressly permitted. This restriction does not prohibit registered Users from creating and sharing provider lists through the Platform's offered features or Inquirers from using provider contact information to obtain services. Systematic extraction to build a competing directory or database is prohibited without written permission.
The names and logos for KNOVA, and any other KNOVA graphics, logos, designs, page headers, button icons, scripts and service names are trademarks or trade dress of KNOVA. KNOVA’s trademarks and trade dress may not be used, including as part of trademarks or as part of domain names, in connection with any other product or service in any manner that is likely to cause consumer confusion and may not be copied, imitated, or used, in whole or in part, without the prior written permission of KNOVA. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of KNOVA or any KNOVA affiliates without KNOVA’s express written consent. In addition, You agree to not remove, obscure or otherwise alter any proprietary notices appearing on any content, including copyright, trademark and other intellectual property notices.
EXCEPT AS EXPRESSLY PROVIDED IN THE TERMS OF SERVICE, NEITHER KNOVA NOR ANY THIRD PARTY HAS CONFERRED UPON YOU BY IMPLICATION, ESTOPPEL, OR OTHERWISE, ANY LICENSE OR RIGHT UNDER ANY PATENT, TRADEMARK, COPYRIGHT, OR OTHER PROPRIETARY RIGHTS TO USE THE WEBSITE. NO OWNERSHIP RIGHTS ARE OR WILL BE ASSIGNED TO YOU BY REASON OF YOUR ACCEPTANCE OF THESE TERMS OF SERVICE.
KNOVA may seek appropriate equitable relief for actual or threatened misuse of its intellectual property, subject to Section 19 and applicable legal standards and bond requirements. Nothing automatically establishes irreparable harm or an entitlement to relief.
5. License Grant and Restrictions.
KNOVA grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Website for permitted personal or business purposes: finding and contacting providers, maintaining an authorized subscriber profile, and using registered list features under the User SaaS. No right to resell Platform access, scrape its directory, or exploit its proprietary content is granted. You may share provider information and lists through available authorized features and deal directly with providers outside the Platform. Other copying, licensing, redistribution, or commercial exploitation of Website materials requires KNOVA's written permission or another lawful basis. Access restrictions remain subject to these Terms and applicable subscription terms.
ANY RIGHTS IN THE WEBSITE NOT EXPRESSLY GRANTED TO YOU IN THESE TERMS OF SERVICE ARE RESERVED TO KNOVA.
6. Privacy Policy.
The Privacy Policy, available at www.knovalocal.com/privacy, describes the collection, use, retention, and disclosure of information from visitors, Inquirers, and Subscribers, whether or not they have an account. KNOVA may send an inquiry to the provider or providers identified to you for that request and implement the sharing actions you choose. Acceptance of these Terms is not consent to marketing calls or texts, targeted advertising, or other processing for which separate consent is required by law.
7. Terms and Termination of Access.
This Agreement takes effect when you accept it as described above and continues until terminated in accordance with its terms.
KNOVA may suspend, restrict, or discontinue Website access for a legitimate administration, security, legal, or business reason, subject to applicable law. Paid subscription termination and refunds are governed by the Purchase Terms; this Section does not override those rights.
KNOVA may remove unlawful or infringing content, restrict access for material violations, and prevent evasion of a valid suspension. Honest negative reviews, good-faith complaints, or lawful reports to authorities are not prohibited merely because they criticize KNOVA or a provider. A user suspended for misconduct must not evade the restriction by using another identity.
Upon termination of this Agreement, all licenses granted by KNOVA to You will terminate. In the event of access restriction for any reason, whether on your behalf or ours, content that You submitted may no longer be available. Handling of retained information is subject to the Privacy Policy and applicable law. Sections concerning intellectual property, privacy, liability limitations, releases, indemnification, dispute resolution, and other provisions that by their nature should survive remain effective.
KNOVA does not guarantee that the Website or any content, service, or feature will be uninterrupted, error-free, or continuously available. Access to the Website may be suspended or restricted due to maintenance, system updates, failures, force majeure events, or causes beyond our reasonable control. Any liability for unavailability, interruption, or delay is subject to Section 8 and any express subscription refund rights.
8. Limitation of Liability.
KNOVA does not perform or control a Service Provider's work or an Inquirer's conduct. The independent-party allocation in Section 3A applies. Third-party network, device, or communication problems may interrupt use. The protections in this Section apply only to the extent lawful and subject to the express exceptions below.
TO THE FULLEST EXTENT PERMITTED BY LAW, KNOVA AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND VENDORS ENGAGED TO OPERATE THE PLATFORM (THE "KNOVA PARTIES") WILL NOT BE LIABLE FOR LOST PROFITS, REVENUE, GOODWILL, BUSINESS OPPORTUNITY, OR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE WEBSITE OR SERVICES, REGARDLESS OF THE LEGAL THEORY, INCLUDING NEGLIGENCE, EVEN IF ADVISED OF THE POSSIBILITY. A LISTED SERVICE PROVIDER IS NOT A KNOVA PARTY MERELY BECAUSE IT SUBSCRIBES.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE COLLECTIVE AGGREGATE LIABILITY OF KNOVA AND THE KNOVA PARTIES ARISING OUT OF OR RELATING TO THE WEBSITE, PLATFORM, SUBSCRIPTIONS, OR THE APPLICABLE KNOVA TERMS, UNDER ANY LEGAL THEORY, SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100) OR (B) THE AMOUNTS YOU PAID DIRECTLY TO KNOVA FOR THE PLATFORM DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. AMOUNTS PAID TO SERVICE PROVIDERS DO NOT COUNT TOWARD THIS LIMIT. THIS IS ONE AGGREGATE LIMIT ACROSS THE APPLICABLE KNOVA TERMS, NOT A SEPARATE LIMIT FOR EACH DOCUMENT OR CLAIM.
THE LIMITS IN THIS SECTION DO NOT REDUCE KNOVA'S EXPRESS OBLIGATION TO REFUND SUBSCRIPTION FEES WHEN REQUIRED UNDER THE PURCHASE TERMS AND ARE SUBJECT TO THE NONWAIVABLE RIGHTS AND EXCEPTIONS BELOW.
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU RELEASE KNOVA AND THE KNOVA PARTIES FROM CLAIMS ARISING OUT OF A SERVICE PROVIDER'S OR INQUIRER'S ACTS OR OMISSIONS, INCLUDING THEIR WORK, CONTRACTS, PAYMENTS, NONPERFORMANCE, FRAUD, PROPERTY DAMAGE, OR PERSONAL INJURY, INCLUDING CLAIMS ALLEGING KNOVA'S ORDINARY NEGLIGENCE IN DISPLAYING THIRD-PARTY INFORMATION OR FACILITATING AN INTRODUCTION. THIS RELEASE DOES NOT RELEASE THE SERVICE PROVIDER OR INQUIRER FROM ITS OWN OBLIGATIONS. NO RELEASE, DISCLAIMER, INDEMNITY, OR LIABILITY LIMIT IN THESE TERMS EXCLUDES OR LIMITS KNOVA'S LIABILITY FOR ITS OWN FRAUD, GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR ANY LIABILITY OR REMEDY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED. NOTHING HERE SHORTENS AN APPLICABLE STATUTE OF LIMITATIONS.
9. Disclaimers.
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE INFORMATION ON THE WEBSITE, AND ANY KNOVA CONTENT, IS AT YOUR SOLE RISK. KNOVA CONTENT IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. EXCEPT AS REQUIRED BY NONWAIVABLE LAW, KNOVA HAS NO GENERAL OBLIGATION TO SCREEN OR MONITOR THIRD-PARTY CONTENT AND DOES NOT GUARANTEE THAT ANY CONTENT AVAILABLE ON KNOVA COMPLIES WITH THIS AGREEMENT OR IS SUITABLE FOR ALL USERS.
KNOVA EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
KNOVA DOES NOT WARRANT THAT THE WEBSITE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, ACCURATE, VIRUS-FREE, OR ERROR-FREE, OR PRODUCE A PARTICULAR RESULT. KNOVA DOES NOT WARRANT THIRD-PARTY LISTINGS, COMMUNICATIONS, WEBSITES, PROVIDER QUALIFICATIONS, OR PROVIDER SERVICES. AN INQUIRER'S RIGHTS CONCERNING A PROVIDER'S WORK REMAIN AGAINST THAT PROVIDER, NOT KNOVA, SUBJECT TO NONWAIVABLE LAW. NO USER LIST, SEARCH RESULT, OR THIRD-PARTY STATEMENT CREATES A KNOVA WARRANTY. KNOVA'S EXPRESS UNDERTAKINGS AND THE EXCEPTIONS IN SECTION 8 REMAIN EFFECTIVE.
The disclaimers in this Section apply only to the extent permitted by law and do not eliminate mandatory warranties, statutory remedies, or express obligations undertaken by KNOVA.
10. Your Conduct and Prohibited Activities.
Users are required to be civil and respectful at all times and in all interactions with KNOVA and with any other User. In addition, You shall not:
- Use false identities or multiple accounts to mislead others or evade a valid suspension;
- Harass or stalk any other person;
- Harm or exploit minors;
- Act in a deceptive manner by, among other things, impersonating any person or entity;
- Fraudulently solicit money, payment, or financial information; this does not prohibit lawful quotes, invoices, or payments directly between a Service Provider and an Inquirer;
- Post any content that is prohibited by Section 13 herein;
- Express or imply that any statements you make are endorsed by Us without our specific prior written consent;
- Use the Website or our Services in an illegal manner or to commit an illegal act;
- Access the Website in a jurisdiction in which it is illegal or unauthorized;
- Ask or use other Users to conceal the identity, source, or destination of any illegally gained money or products;
- Except as expressly permitted in Section 11(c), use any robot, spider, site search/retrieval application, or other manual or automatic device or process to retrieve, index, “data mine”, or in any way reproduce or circumvent the navigational structure or presentation of the Service or its contents;
- Collect others’ personal information by electronic or other means for the purpose of sending unsolicited email or unauthorized framing of or linking to the Website;
- Interfere with or disrupt the Website or the servers or networks connected to the Website;
- Email or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software, computer hardware, or telecommunications equipment;
- Forge headers or otherwise manipulate identifiers in order to disguise the origin of any information transmitted to or through the Website (either directly or indirectly through use of third party software);
- “Frame” or “mirror” any part of the Website, without KNOVA’s prior written authorization;
- Use meta tags or code or other devices containing any reference to Us or the Website (or any trademark, trade name, service mark, logo or slogan of KNOVA) to direct any person to any other website for any purpose;
- Post, distribute, or reproduce in any way any copyrighted material, trademarks, service marks, trade names, logos, slogans, or other proprietary information without obtaining the prior consent of the owner of such proprietary rights;
- Modify, adapt, sublicense, translate, sell, reverse engineer, decipher, decompile or otherwise disassemble any portion of the Service or any software used on or for the Service, or cause others to do so;
- Post, use, transmit or distribute, directly or indirectly, (e.g. screen scrape) in any manner or media any content or information obtained from the Service other than solely in connection with your use of the Service in accordance with this Agreement.
- Use of Website Content for Machine Learning or AI Prohibited. Without limiting the foregoing, you may not use any content, images, videos, text, metadata, or materials obtained from the Website for the purpose of training, developing, or improving any artificial intelligence system, machine learning model, algorithmic process, large language model, neural network, data analytics platform, or similar technology—whether for commercial or non-commercial use—without KNOVA’s prior written consent. Any such use is expressly prohibited.
11. (a) Content Posted by You on KNOVA.
You are responsible for the information you post, upload, submit, link to, or otherwise provide through the Website ("Content"), including provider profiles, qualifications, photographs, inquiries, lists, and recommendations. KNOVA may access Content as reasonably necessary to operate the Website and provide the requested features in accordance with the Privacy Policy. Provider profile information is intended for public display. Inquirer lists are disclosed according to the user's sharing actions and available settings, not merely because an account exists.
You are solely responsible for all activities that you perform. You agree to immediately notify KNOVA of any disclosure or unauthorized use, or any other breach of security, at support@knovalocal.com.
Do not post fraudulent, knowingly false, materially misleading, unlawful, infringing, threatening, or harassing Content, or another person's private information without authority. You represent that factual information you submit is accurate to your knowledge, that opinions reflect your genuine views, and that you have the rights needed to submit the Content and grant the license below. Providers must promptly correct outdated or misleading profile information. These standards do not prohibit an honest negative review or lawful criticism.
KNOVA may, but does not undertake generally to, review or remove third-party Content for a legitimate legal, security, privacy, or content-policy reason. Any action required by applicable law remains required. Content will not be penalized solely because it expresses a lawful negative opinion.
11. (b) Advertising
The Website is supported by provider subscriptions and may display advertising or sponsored placements. Subscription status or payment is not an endorsement or verification of a provider's quality. If paid promotion affects a placement, KNOVA will identify that promotion as required by law. Advertising-related information practices are described in the Privacy Policy.
Endorsements and Sponsored Content. Users must not submit fabricated reviews or undisclosed paid endorsements. Any material connection required to be disclosed by applicable advertising or endorsement law must be clearly disclosed. A provider's inclusion on a user's list reflects that user's selection, not KNOVA's recommendation.
11. (c) Automated Queries
Automated queries (including screen and database scraping, spiders, robots, crawlers and any other automated activity with the purpose of obtaining information from KNOVA website) are strictly prohibited, unless you have received express written permission from KNOVA. As a limited exception, publicly available search engines and similar Internet navigation tools ("Search Engines") may query KNOVA website and provide an index with links to KNOVA website, only to the extent such unlicensed "fair use" is allowed by applicable copyright law. Search Engines are not permitted to query or search information protected by a security verification system ("captcha") which limits access to human users.
11. (d) Links to Third Party Sites
KNOVA’s website and services may include links to third-party products, services, websites, hyperlinks to other websites, and materials provided by third parties. KNOVA does not endorse, and takes no responsibility for such products, services, websites, and/or materials. KNOVA makes no representations or warranties regarding the legality or appropriateness of any third party products, services, websites, hyperlinks or materials. You understand that KNOVA has no obligation to, and does not, review, evaluate, approve or monitor materials provided by third parties. Your dealings with any third party arising in connection with your use of KNOVA’s website are solely between you and such third party, and KNOVA takes no responsibility for any damages or costs of any type arising out of or in any way connected with your dealings with these third parties.
12. Licenses Granted by You to Us.
By submitting Content, you grant KNOVA and its vendors a non-exclusive, worldwide, royalty-free, transferable and sublicensable license to host, store, format, display, transmit, and otherwise use it only as reasonably necessary to operate, maintain, secure, support, and improve the Website and provide the features you request. Public provider profiles may be displayed to visitors, and inquiries and lists may be transmitted according to the recipient and sharing choices made when submitted. KNOVA will not use private inquiries or lists in public marketing without permission. This license continues only as reasonably necessary for those purposes and lawful retention, backup, security, compliance, or dispute needs, subject to the Privacy Policy and applicable deletion rights. You retain ownership of your Content, subject to third-party rights. Recipients may retain or further share copies outside KNOVA's control. Voluntary suggestions for improving the Website may be used without compensation under a non-exclusive license; this does not transfer ownership of consumer reviews.
13. Prohibited Content.
Your use of KNOVA, including all Content You post, must comply with all applicable laws and regulations. In addition to the types of Content described in Section 10 above, the following is a partial list of Content which You are prohibited from posting to KNOVA. You shall not post, upload, display or otherwise make available Content that:
- Promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;
- Advocates harassment or intimidation of another person;
- Fraudulently requests money or is otherwise intended to defraud KNOVA or another person;
- Involves the transmission of “junk mail”, “chain letters” or unsolicited mass mailing or “spamming” (or “spimming”, “phishing”, “trolling” or similar activities);
- Promotes information that is false or misleading, or promotes illegal activities or conduct that is defamatory, libelous or otherwise objectionable;
- Promotes an illegal or unauthorized copy of another person's copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufacturer installed copy-protect devices, or providing pirated images, audio or video, or links to pirated images, audio or video files;
- Contains video, audio photographs, or images of another person without his or her permission (or in the case of a minor, the minor's legal guardian);
- Contains restricted or password only access pages, or hidden pages or images (those not linked to or from another accessible page);
- Provides material that exploits people in a sexual, violent or other illegal manner, or solicits personal information from anyone under the age of 18;
- Provides instructional information about illegal activities such as making or buying illegal weapons or drugs, violating someone's privacy, or providing, disseminating or creating computer viruses;
- Contains viruses, time bombs, trojan horses, cancelbots, worms or other harmful, or disruptive codes, components or devices;
- Impersonates, or otherwise misrepresents affiliation, connection or association with, any person or entity;
- Provides information or data you do not have a right to make available under law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information);
- Disrupts the normal flow of dialogue, causes a screen to “scroll” faster than other users are able to type, or otherwise negatively affects other users' ability to use the Website;
- Solicits passwords or personal identifying information of other Users for commercial or unlawful purposes;
- Disseminates another person's personal information without his or her permission; or
- Promotes unrelated or unauthorized commercial solicitations, unlawful schemes, or undisclosed paid endorsements; this does not prohibit authorized provider profiles, genuine recommendations, or lawful direct Provider-Inquirer transactions.
KNOVA reserves the right, in its sole discretion, to investigate and take any legal action against anyone who violates this provision, including removing the offending communication from the Website and terminating or suspending access by such violators.
14. Your Representations and Warranties.
For each item of Content that you submit, you represent and warrant that: (i) you have the right to submit the Content to KNOVA and grant the licenses set forth above; (ii) KNOVA will not need to obtain licenses from any third party or pay royalties to any third party; (iii) the Content does not infringe any third party's rights, including intellectual property rights and privacy rights; and (iv) the Content complies with this Agreement and all applicable laws.
15. Indemnification.
You shall indemnify, defend, and hold harmless KNOVA and the KNOVA Parties from third-party claims and resulting losses, liabilities, damages, and reasonable attorneys' fees to the extent caused by your breach of these Terms, unlawful or infringing Content, violation of law, or negligent or wrongful conduct. For Service Providers, this includes claims concerning their work, personnel, subcontractors, customer agreements, payments, licensing, insurance, taxes, or misuse of inquiry information. This does not cover losses to the extent caused by a KNOVA Party's own negligence, fraud, gross negligence, willful misconduct, or violation of law, and does not apply merely because you bring your own good-faith claim against KNOVA. KNOVA will give prompt notice; delay excuses performance only to the extent materially prejudicial. You will defend through reasonably acceptable counsel. KNOVA may participate at its expense or reasonably assume the defense at your expense if you fail to defend or a material conflict requires separate counsel. A settlement imposing an admission or nonmonetary duty on, or lacking a full release of, a KNOVA Party requires its written consent, not unreasonably withheld. The User SaaS governs the corresponding obligation of a registered User; there is no duplicate recovery.
16. Copyright Policy, Notice and Procedure for Making Claims of Copyright Infringement.
Respect others' intellectual property rights. If you believe material on the Website infringes your copyright, send a written notice identifying the material and containing the information below to KNOVA's copyright contact:
Copyright Notices
Knova Enterprises, LLC
support@knovalocal.com
Please include the following information in a copyright notice:
- A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
- Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online website are covered by a single notification, a representative list of such works at that site.
- Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit KNOVA to locate the material.
- Information reasonably sufficient to permit KNOVA to contact the complaining party, such as an address, telephone number and email address at which the complaining party may be contacted.
- A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
- A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
KNOVA will respond to notices in accordance with applicable law and may remove or disable access to infringing material. KNOVA will terminate accounts of repeat infringers in appropriate circumstances. A person whose material is removed may contact support@knovalocal.com regarding any counter-notification procedure available under applicable law. Misrepresentations in infringement notices may create liability under applicable law.
17. Our Use of Your Information.
Consistent with the Privacy Policy and applicable law, KNOVA may access, preserve, and disclose information and Content as reasonably necessary to:
(i) Comply with legal process;
(ii) Enforce these Terms of Service;
(iii) Respond to claims that any Content violates the rights of third parties;
(iv) Respond to your requests for customer service;
(v) Provide the features you request and maintain necessary business records; or
(vi) Protect the rights, property or personal safety of KNOVA or any other person or entity.
18. Reliance on Information Posted
Provider profiles, service descriptions, lists, and recommendations are informational tools, not a substitute for independent diligence. Verify important details directly with the provider. KNOVA does not warrant third-party information, and the limitations and exceptions in Section 8 apply.
This Website may include content provided by third parties, including materials provided by other users, bloggers and third-party licensors, syndicators, aggregators and/or reporting services. All statements and/or opinions expressed in these materials, and all articles and responses to questions and other content, other than the content provided by KNOVA, are solely the opinions and the responsibility of the person or entity providing those materials. These materials do not necessarily reflect the opinion of KNOVA. We are not responsible, or liable to you or any third party, for the content or accuracy of any materials provided by any third parties.
General articles, maintenance suggestions, and other informational materials are not professional contracting, engineering, safety, legal, or other advice for your particular circumstances. They do not replace a qualified professional's assessment, required permits, or applicable building and safety requirements. Do not rely on the Website to diagnose an emergency or supervise hazardous work.
19. MANDATORY BINDING ARBITRATION AND CLASS ACTION WAIVER. PLEASE READ CAREFULLY. THIS SECTION INCLUDES A 30-DAY OPT-OUT RIGHT.
19.1 Agreement to Arbitrate. You and KNOVA agree to resolve by individual binding arbitration disputes between you and KNOVA arising out of or relating to these Terms, the Website, subscriptions, or your relationship with KNOVA, whether in contract, tort, statute, fraud, or otherwise, except as provided in this Section 19. This agreement involves interstate commerce; the Federal Arbitration Act governs this Section. It binds you only upon your assent to these Terms. It does not create an arbitration agreement between an Inquirer and a Service Provider. Statutory exclusions from arbitration remain applicable.
19.2 Initial Dispute Resolution. Before initiating arbitration, the complaining party will send the other party a written description of the dispute, requested relief, and sufficient identifying and contact information. Notices to KNOVA must be sent to support@knovalocal.com; KNOVA will use the contact information you provided. The parties will attempt in good faith to resolve the dispute for thirty (30) days after receipt. Either party may file sooner to preserve a claim against expiration of a limitations period or seek relief permitted under Section 19.8. To the extent permitted by law, limitations periods are tolled during this thirty-day process. No in-person conference is required.
19.3 Binding Arbitration. Unresolved arbitrable claims will be administered by the American Arbitration Association ("AAA") before one neutral arbitrator. The AAA Consumer Arbitration Rules and applicable consumer fee schedule apply to personal, family, or household use; otherwise, the AAA Commercial Arbitration Rules apply, subject to AAA's determination of the applicable rules and applicable law. Rules, fee schedules, and filing instructions are available at www.adr.org, and KNOVA will provide copies on request. KNOVA will comply with applicable AAA consumer-clause review and registration requirements. If AAA declines or is unable to administer a dispute, the parties may agree on another administrator; absent agreement, either party may proceed in a court of competent jurisdiction.
19.4 Arbitrator's Powers. A court of competent jurisdiction, not the arbitrator, will decide disputes concerning formation, assent, existence, validity, enforceability, or scope of this arbitration agreement, the class action waiver, and matters that applicable law reserves for a court. The arbitrator decides the merits of arbitrable claims and may award the individual relief available under applicable law, including statutory remedies and attorneys' fees where authorized. The arbitrator will issue a reasoned written award, which may be entered as a judgment in a court of competent jurisdiction.
19.5 Filing a Demand. A party commencing arbitration must submit a demand to AAA in accordance with its applicable rules, identifying the parties, describing the dispute and relief requested, and providing the applicable agreement and filing fee, subject to available fee waivers. Send a copy of a demand against KNOVA to support@knovalocal.com. KNOVA will send a copy of its demand to the contact information you provided. An account or username is not required to make a claim.
19.6 Fees and Location. Consumer filing fees will not exceed the amount permitted by the applicable AAA consumer fee schedule; KNOVA will timely pay the business fees and arbitrator compensation required of it by those rules and applicable law. Fees in business disputes are governed by the applicable AAA rules. A consumer will not be required to pay KNOVA's attorneys' fees except as applicable law permits. For a consumer, any in-person hearing will be in the county of the consumer's residence or another reasonably convenient location under AAA rules, unless the parties agree to remote proceedings or another location. Business hearings will be in Broward County, Florida, unless the parties agree otherwise or mandatory law requires otherwise. Neither party must travel for a hearing that AAA permits to occur by documents, telephone, or video.
19.7 Class Action Waiver. TO THE EXTENT PERMITTED BY LAW, EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN ITS INDIVIDUAL CAPACITY, NOT AS A CLASS OR COLLECTIVE REPRESENTATIVE OR MEMBER. NO CLASS ARBITRATION MAY PROCEED WITHOUT BOTH PARTIES' EXPRESS WRITTEN CONSENT AFTER THE DISPUTE ARISES. This provision does not waive nonwaivable rights to public injunctive relief or other statutory relief. If applicable law requires a particular claim or request for relief to proceed in court, that claim or relief will be severed and may proceed in court, with the remainder arbitrated to the extent enforceable. An unenforceable class waiver will not authorize class arbitration; the affected claim must instead proceed in court. Nothing bars a report to, or relief through, a government agency.
19.8 Exceptions. Either party may bring an individual claim within the jurisdiction of small claims court in the county where you reside or in Broward County, Florida. Either party may bring claims concerning theft, piracy, infringement, or unauthorized use of its intellectual property in a court of competent jurisdiction. Either party may seek temporary or provisional judicial relief to preserve the status quo pending arbitration without waiving arbitration. Claims that applicable law prohibits from being subject to a predispute arbitration agreement are excluded.
19.9 30-Day Right to Opt Out. You may opt out of the arbitration and class action waiver provisions by emailing support@knovalocal.com with the subject "ARBITRATION OPT-OUT" within thirty (30) days after first accepting an arbitration agreement with KNOVA or after receiving notice of a material change under Section 19.10. Include your name, contact information, account email if any, and a clear statement that you opt out; no account is required. A timely opt-out applies to arbitration and class waivers in the Website Terms of Use, User Software-as-a-Service Agreement, and Website Purchase Terms, and remains effective despite later acceptance of another of those documents, unless you expressly agree otherwise in a separate writing. Opting out will not affect access or service, and neither party will be bound to arbitrate with the other.
19.10 Changes to This Section. KNOVA will provide at least thirty (30) days' conspicuous advance notice of a material change to this Section, describe the change and proposed effective date, and explain the opt-out right. A material change applies to an existing user only after affirmative acceptance and only prospectively; it will not apply to a dispute of which either party already gave notice. A website posting alone will not amend an existing arbitration agreement. If you do not accept a material change, the previously accepted version continues to govern, subject to any effective opt-out. Nonmaterial changes take effect thirty (30) days after notice. These requirements control over any other amendment provision.
19.11 Survival. This Section 19, including any effective opt-out and the previously accepted version where applicable, survives termination of these Terms, your account, or your use of the Website.
20. Miscellaneous Provisions.
A. Applicable Law
Florida law governs these Terms, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs Section 19 and mandatory consumer protections of your residence remain applicable where they cannot lawfully be waived. Subject to Section 19, including its small claims exception, nonarbitrable proceedings must be brought in the state courts in Broward County, Florida, or the United States District Court for the Southern District of Florida, unless nonwaivable law requires or permits another forum. The parties consent to personal jurisdiction in those courts. In business disputes, a prevailing party may recover reasonable attorneys' fees and costs as permitted by law and applicable forum rules. In consumer disputes, such fees may be awarded only as authorized by applicable law, not merely under a contractual prevailing-party provision. Accepting arbitration waives a court and jury trial only for validly arbitrable claims; no independent jury waiver applies to other claims or a timely opt-out.
B. Assignment
This Agreement shall bind and inure to the benefit of KNOVA’s successors, assigns and licensees. KNOVA shall have the right to assign or otherwise transfer its rights or obligations under this Agreement whether by contract, merger, sale of all or substantially all of KNOVA’s assets, or operation of law without your consent, or notice to You. Any attempted assignment by You shall be null and void, and not have any legal force or effect.
C. Waiver
The failure of KNOVA to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision.
D. Severability
An invalid or unenforceable provision will be severed to the extent necessary without affecting the remainder, except as specifically provided in Section 19. No severance will eliminate a nonwaivable statutory right or authorize class arbitration without the required agreement.
E. Entire Agreement
These Terms and the documents expressly incorporated and accepted as applicable constitute the entire agreement on their respective subjects. A separate written agreement signed by KNOVA and you controls only to the extent it expressly modifies the applicable terms. The checkout or order confirmation controls the subscription plan, price, billing interval, and term expressly stated there, but does not otherwise override the legal terms. The Website Purchase Terms (Service Provider Subscriptions) govern subscription billing, renewal, cancellation, and refunds; the User Software-as-a-Service Agreement governs registered account and Platform use and disputes with registered Users; and the Website Terms of Use govern public Website use. The Privacy Policy describes the processing of personal information. No document authorizes a use or disclosure of personal information contrary to that Policy or applicable law. The liability limits under these documents are a single aggregate limit, not separate or cumulative limits. For a registered User, Section 13 of the User SaaS governs disputes with KNOVA; for an unregistered visitor, Section 19 of these Terms governs. A timely arbitration opt-out remains effective across these documents. Only KNOVA Parties are intended third-party beneficiaries of the protections expressly afforded them; no Service Provider or Inquirer acquires a right to enforce these Terms against the other.
F. Descriptive Headings
The headings of the several sections of this Agreement are intended for convenience of reference only and are not intended to be a part of or affect the meaning or interpretation of this Agreement.
G. Hosting of the Service; Export Restrictions. The Website is operated from the United States. Persons accessing it elsewhere are responsible for compliance with applicable local law. No access or use is permitted in violation of applicable U.S. sanctions or export restrictions. International processing of personal information is governed by the Privacy Policy and applicable law; accepting these Terms does not substitute for a legally required transfer safeguard or consent.
H. Information Provided on the Website; Notices
Profile and listing information may be supplied by a provider, another User, or an identified third-party source. Direct correction requests, complaints, and legal notices to support@knovalocal.com. KNOVA may contact you using information you provide or a conspicuous Website notice where appropriate; individually required notices will be sent individually. Specific amendment and dispute notices are governed by Sections 1A and 19. This does not waive legally required service of process. Requests about personal information are handled under the Privacy Policy.
